Biography

Sarah W. Benedict is a business attorney who partners closely with clients to support their day to day legal and strategic needs, often serving as outside general counsel. Her practice focuses on delivering practical, thoughtful guidance across mergers and acquisitions, contract negotiations, leasing, corporate governance, software licensing, and other core business matters. She also advises issuers and investors in private placements and equity offerings and counsels clients on restructurings tailored to their business objectives.

Sarah is known for her responsive, clear, and measured approach. Clients rely on her to provide timely answers, assess risk with precision, and offer guidance that reflects both legal requirements and real world business considerations. Whether drafting or negotiating agreements, advising on transaction risks, or helping clients weigh their options, she brings a steady focus on what will best support long term success.   • Forms relationships with clients, allowing Sarah to deeply understand their businesses and clients to trust the advice that she provides.  These relationships often last for years.
  • Represents clients in various funding rounds and in connection with investments by private equity firms.
  • Works closely with attorneys in other practice areas of the firm both when clients need other types of legal assistance and when other firm clients need legal guidance on business matters.  This includes assisting on transactions that have corporate aspects and advising the firm’s utility, energy, real estate and other clients in transactions that involve complex business matters.
  • Advises new clients on entity formation and start-up matters.
  • Represents private lenders, banks and borrowers in connection with loans and refinancings that involve complicated legal issues or otherwise require outside legal counsel.
